Binance Just Became a Circle Shareholder, and Stablecoin Distribution Got a New Playbook
Binance is now a shareholder in the company whose dollar token it distributes. Circle disclosed in an SEC 8-K filing on September 22 that Binance bought 1,237,011 shares of Class A common stock at $80.84 each in a private placement, about $100 million, at a discount of roughly 5 percent to Circle's September 17 close. The shares stay locked for two years, and Binance keeps its votes the whole time.
The stock purchase closed together with a new five year commercial deal that replaces the agreements the two companies signed in November 2024 and August 2025. Under the new arrangement, Circle pays Binance a monthly incentive fee tied to the amount of USDC held through Circle's Modular Smart Contract Wallet infrastructure, the wallet stack that lets exchanges move stablecoins for users, while Binance promotes USDC across its platform for the full five years. Either side can exit early under specified events the filing leaves unspecified. The relationship has been deepening in stages. The original tie up was unveiled at Abu Dhabi Finance Week in December 2024, when Binance committed to making USDC available across its products and holding it in its corporate treasury. Each renewal since has lengthened the commitment and deepened the integration.
The market has already repriced the stake. CRCL closed Monday at $94.49, putting Binance's stake at about $116.9 million on paper, a gain of nearly 17 percent in days. Circle's own expansion adds context. last week the company launched the public mainnet of Arc, its Layer 1 blockchain where USDC pays the transaction fees, with more than 100 applications live at launch and founding validators including BlackRock, DTCC, ICE, Mastercard, and Visa. USDC supply sits near $74.6 billion, and a rival called Open USD backed by Coinbase, Visa, and Stripe is gathering behind it.
